Article I.
Name: The name of this Association shall be the Fox River Country Day School Parent Support Association (PSA).
Article II.
Mission: The mission of this Association is to work with the faculty, the administration and the board on
expanding and facilitating community service and social opportunities for the FRCDS community, both internally
and externally. Additionally, the Association will support the School financially through fundraising activities.
Article III.
Members: The members of this Association shall be all parents or guardians having a child attending Fox River Country School.
Article IV.
Officers and their Election:
Section 1.
A Nominating Committee shall make nominations for the Officers. The Nominating Committee will consist of: the Executive Council, the
Head of School, the Director of Development and Communications, and at its discretion, a past PSA president and an individual-at-large
from the FRCDS community.
Section 2.
The Officers of this Association shall be a President, a President Elect and a Secretary/Treasurer. PSA members shall be notified of
the proposed slate of Officers two weeks in advance of the May meeting. Officers shall be elected at the monthly meeting of the Association
in May. At the meeting, a single slate of Officer candidates will be presented to PSA members for their vote. The vote for each position
shall be by voice vote. The Officers shall serve for one term (with the exception of the President Elect), commencing at the end of the May meeting.
If committee chair positions are filled, they will be announced at the May meeting.
Section 3. Terms of Office are as follows:
A. The President Elect is elected for a two-year term, serving as the President Elect the first year and as the President the second year.
B. Secretary/Treasurer is elected for a one-year term.
In the event that the Nominating Committee’s choice(s) for President Elect is/are unwilling to serve, the Committee may ask the current
President to serve one additional year, not to exceed three years. The reappointment must be approved at the meeting of the Association
in May. This Association shall have an Executive Council comprised of the President, the President Elect, and the Secretary/Treasurer.
Section 4.
A. In the event a vacancy occurs in any office, the remaining term of which is less than six months that vacancy shall be filled be an
appointment by the President in consultation with the Executive Council and the Head of School; officers appointed to such vacancies
shall not be considered to have served a full term. In the event a vacancy occurs in any office, the remaining term is which of six
months or more (except for the specific situation in B below*), that vacancies shall be filled by appointment by the Nominating
Committee; officers appointed to such vacancies shall be considered to have served a full term.
B. In the event a vacancy occurs in the office of President at the end of one year of service, that vacancy shall be filled by
nomination by the Nominating Committee if the vacancy is known prior to the meeting in May.
* A vacancy occurring after the May meeting or prior to the beginning of the next school year shall be filled by appointment by the
Nominating Committee, in consultation with the Head of the School. In these circumstances, the new President shall serve a one-year
term, concurrent with the term of the other Executive Council members elected that year.
If the Nominating Committee chooses to elevate the President Elect to President, the Nominating Committee will find a new President
Elect for a two-year term.
Article V.
Duties of the Officers:
Section 1.
The President shall preside at all meetings of the Association and of the Executive Council and shall be an ex officio member
of all committees. The President shall appoint special committees and perform other duties usually pertaining to the office
of the President.
Section 2.
The President Elect shall shadow the President and work in an active supporting role to the President. In
the President’s absence, the President Elect will oversee the monthly PSA meetings.
The President Elect’s main duty is to learn the role of President and, as the year goes on, to begin to share more and more of the
Presidential duties.
Section 3.
The Secretary/Treasurer shall maintain and make available accurate records of all meetings of the Association and shall perform
such other duties as may be delegated to this Officer by the President. This position shall receive all monies of the Association
and shall keep an accurate record of all receipts and expenditures, and shall pay out funds only in such manner as may be authorized
be the Executive Council and the Director of Development and Communications. The Secretary/Treasurer shall file an annual report,
which shall be available to the membership. The Secretary/Treasurer shall prepare a financial report to be given at every meeting of
the Association. The Secretary/Treasurer works closely with the Business Office and the Director of Development and Communications.
Article VI.
Committees: Committees shall be established to fulfill and support the activities and needs of the Association. The President
shall appoint chairs for each committee, subject to the approval of the other members of the Executive Council.
Article VII.
Meetings of the Association:
Section 1.
There shall be a monthly meeting of the Association during the school year. The May meeting will be dedicated
to the election of Officers. A quorum of at least 15 members, and the affirmative vote of at least a majority of those present,
shall be required for the election of Officers. If a quorum isn’t met, the Nominating Committee has authority to approve the slate
of candidates.
Article VIII.
Amendments:
These by-laws may be amended to any regular meeting of the Association at which at least 15 members are present, by a two-thirds (10) vote
of those present, provided the proposed amendment has been submitted in writing to the membership with the recommendation of the Executive
Council at least two weeks before the meeting of the Association at which they are to be voted on.

Copied:
Copies of these by-laws shall be made available to any member of the Parent Support Association upon request.
